1. Acceptance of Terms

By accessing and using SecureAudit's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services. SecureAudit reserves the right to modify these terms at any time. Continued use of our services following the posting of revised terms constitutes your acceptance of those revisions.

2. Description of Services

SecureAudit provides professional cybersecurity services to organizations across Canada, including but not limited to:

  • Penetration Testing and Ethical Hacking
  • Vulnerability Assessment and Management
  • Security Exposure Assessment
  • Security Consultation and Advisory Services
  • Incident Response and Forensics
  • Security Training and Awareness

The specific scope, deliverables, timeline, and cost of services will be outlined in a separate service agreement executed by both parties.

3. Authorization Requirement - Critical Disclaimer

ALL SECURITY TESTING AND PENETRATION TESTING SERVICES REQUIRE PRIOR WRITTEN AUTHORIZATION FROM THE CLIENT ORGANIZATION.

You acknowledge and agree that:

  • No testing activities, including penetration testing, vulnerability scanning, or security assessments, may be conducted on any systems without explicit written authorization from an authorized representative of the target organization.
  • Unauthorized security testing is illegal and constitutes a criminal offense under Canadian law and the laws of other jurisdictions.
  • SecureAudit will not conduct any testing activities without a signed service agreement that clearly defines the scope, authorized systems, testing window, and authorized testing methodologies.
  • You are responsible for ensuring that proper authorization is obtained before SecureAudit performs any testing services.
  • SecureAudit will not be liable for any unauthorized use of its services or testing methodologies by third parties.

4. Client Responsibilities

As a client of SecureAudit, you agree to:

  • Provide accurate information about your organization and systems
  • Ensure that all testing is authorized by appropriate organizational representatives
  • Designate a primary contact for coordination of services
  • Provide necessary access and credentials as outlined in the service agreement
  • Notify SecureAudit of any changes to the testing scope or timeline
  • Implement appropriate safeguards during testing (e.g., incident response procedures)
  • Pay invoices within the agreed-upon timeframe

5. Intellectual Property Rights

All reports, methodologies, tools, and intellectual property developed or provided by SecureAudit remain the exclusive property of SecureAudit, except where otherwise agreed in writing. You may use reports and recommendations provided to you solely for internal security purposes and only for the systems and scope covered in the engagement.

You agree not to:

  • Reproduce, distribute, or modify SecureAudit reports without written permission
  • Reverse-engineer or disassemble SecureAudit tools or methodologies
  • Share findings or reports with unauthorized third parties
  • Use SecureAudit's name, logos, or materials for marketing without prior written approval

6. Confidentiality

SecureAudit maintains strict confidentiality regarding all information obtained during security assessments and testing activities. All findings, vulnerabilities, and sensitive information discovered during engagements are treated as confidential.

Clients agree to maintain confidentiality of:

  • SecureAudit's testing methodologies and tools
  • Specific vulnerabilities and findings (unless authorized for disclosure)
  • All communications with SecureAudit regarding security matters
  • Engagement terms and pricing information

SecureAudit will not disclose findings to any third party without prior written authorization, except as required by law or court order.

7. Limitation of Liability

EXCEPT AS OTHERWISE REQUIRED BY APPLICABLE LAW, SECUREAUDIT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE IN QUESTION DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SECUREAUDIT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • System downtime or service interruptions arising from testing activities
  • Any damages arising from your failure to implement recommendations

8. Service Limitations

You acknowledge that:

  • Security testing cannot guarantee the identification of all vulnerabilities
  • New vulnerabilities may emerge after testing is completed
  • Testing results are based on the systems and scope defined in the engagement
  • Recommendations are based on industry best practices and may require customization for your environment
  • No security assessment is a substitute for comprehensive security programs and practices

9. Indemnification

You agree to indemnify and hold harmless SecureAudit, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your failure to obtain proper authorization for testing services
  • Your misuse of findings or recommendations
  • Your unauthorized disclosure of confidential information
  • Your violation of these Terms of Service
  • Your infringement of third-party intellectual property rights

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Both parties submit to the exclusive jurisdiction of the courts located in Ontario for any disputes arising from these terms or our services.

11. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, the parties may pursue mediation or arbitration as mutually agreed.

12. Entire Agreement

These Terms of Service, together with any signed service agreement and privacy policy, constitute the entire agreement between you and SecureAudit regarding the use of our services and supersede all prior negotiations, representations, and agreements.

13. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

14. Changes to Terms

SecureAudit reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of modified terms. For material changes, we will provide notice via email or prominent website notice.
